ERISA + Executive Compensation

Whether the count is 10 employees or 10,000, companies throughout the United States depend on Goodwin for strategic and effective advice on all aspects of ERISA and executive compensation programs. We work with clients and investors in a range of industries, both public and private, including technology and life sciences companies, banks and other financial services companies, REITs, hospitality companies, and private equity and venture-backed companies. As a real testament to the reputation our practice has in the market, we are frequently hired by boards and compensation committees as special compensation counsel even when we do not serve as their general counsel.

Goodwin’s ERISA and Executive Compensation lawyers counsel on the full range of tax, accounting, corporate and securities law issues that arise in structuring, implementing and administering equity-based compensation, incentive compensation and other employee benefit plans and arrangements, particularly in the context of M&A transactions, early- and late-stage financings, and initial public offerings.

With deep experience in all aspects of Title I of ERISA, we provide comprehensive, practical advice to clients in a range of sectors. On behalf of the firm’s financial services clients, we are involved with a variety of pension investment and other fiduciary issues. Because pension funds represent a major component of the institutional client base served by most of our large financial services clients, we are frequently involved in the large investment transactions and new product developments of these clients. These projects often involve unique issues on the cutting edge of legal developments in the area. We have extensive experience in dealing with the Department of Labor and have successfully obtained numerous prohibited transaction exemptions and advisory opinions.
The practice group’s close collaboration with Goodwin’s ERISA Litigation and Labor & Employment practices means significant involvement in employment and benefit disputes and ERISA fiduciary litigation, especially in the defense of major financial services companies and large plan sponsors.
