The U.S. Supreme Court's unanimous decision on Cyan Inc. v. Beaver Country Employees Retirement Fund rules that Securities Litigation Uniform Standards Act of 1998 (SLUSA) cannot eliminate state courts' concurrent jurisdiction to adjudicate private causes of actions, especially claims under the Section 11 of Securities Act of 1933 (the “1933 Act”) and such actions cannot be barred from state to federal court.

This remarkable court decision may potentially expose directors and officers, who sign registration statement related to these offerings, to a Section 11 litigation in both federal and state courts. Thus, companies may incur higher defense costs and adverse judgments or settlements.
