Senior Paralegal, Private Investment Funds

Location: Washington, DC

As a Private Investment Funds Paralegal at Goodwin, you will be part of a team who is known for creating innovative fund structures that accomplish client goals and meet the unique tax, regulatory and other requirements. You will be able to work with experts work with interdisciplinary teams to provide counsel at every stage of a fund, drawing on the collective knowledge and experience of our firm’s tax, securities, ERISA, banking and other financial services practices.


  • Creates fund entities
  • Researches Blue Sky
  • Prepares Form Ds
  • Maintains fund tracking spreadsheets
  • Organizes subscription agreements
  • Assists with the preparation and organization of documents necessary to close funds


  • BA/BS preferred
  • Minimum of 5 years of relevant experience
  • Experience on both borrower and lender side of leveraged finance transactions preferred, but not required
  • Paralegal Certificate or qualifying work experience required
  • Strong organizational and communication skills
  • Ability to exude a high level of attention to detail
  • Capable of handling multiple responsibilities
  • Ability to work well in a team-oriented environment
  • Advanced proficiency with Microsoft Word and Excel is required
