Connor R. McMillan

Connor McMillan, a corporate associate in Goodwin’s Life Sciences group, focuses his practice on advising clients in the industries of biotechnology, pharmaceuticals, and medical devices. Connor advises clients on a wide range of matters, including venture capital financings, private equity investments, mergers and acquisitions, capital markets transactions, and IPOs.

Prior to joining Goodwin, Connor practiced in the Boston office of a prominent law firm where he represented private equity funds and their portfolio companies in mergers and acquisitions and structured preferred and growth equity investments.

Connor’s representative transactions include representation of:

• Q32 Bio in its “reverse merger” with Homology Medicines, concurrent $42 million private placement financing, and contingent value rights (CVRs)
• Flagship Pioneering in connection with their company formation and financing related matters
• Third Rock Ventures in connection with their company formation and financing related matters
• Insight Partners in its US$50 million Series C investment in Seeq Corporation*
• Locus Robotics Corp. in a US$125 million Series F financing led by Goldman Sachs & Co.*
• Goldman Sachs Asset Management in a US$116 million Series F-2 financing in cloud-native database SingleStore*
• EnterpriseDB and Great Hill Partners in a majority growth investment from Bain Capital Private Equity*
• PAI Partners in its US$3.3 billion acquisition of Tropicana, Naked, and other select juice brands across North America and Europe from PepsiCo, Inc*
• Resolve Systems and Insight Partners in the acquisition of intelligent IT automation platform Ayehu*
• Insight Partners in its investment in the PIPE transaction as part of WeWork’s US$9 billion SPAC merger with BowX Acquisition Corp*
• MG Partners Inc. in its investment in the PIPE transaction as part of Codere Online’s $US350 million SPAC merger with DD3 Acquisition Corp II*

In 2020, Connor volunteered with The Nature Conservancy in its legal defense of ownership of a critical wildlife area in the state of Florida.
