Kizzy Jarashow is a partner in Goodwin’s Financial Restructuring practice. She joined the firm in 2019.

Kizzy represents debtors, creditors, equity holders, sponsors, special situations investors and other stakeholders in all aspects of complex corporate restructurings, including Chapter 11 cases, out-of-court restructurings, work-outs, and distressed debt investments and acquisitions. Kizzy has represented clients in a variety of industries, including energy, retail, technology, manufacturing, health care, automotive, media, hospitality and gaming, education, financial services and real estate.

  • Evergreen Gardens, representing the mezzanine and DIP financing lender in a complex multi-party restructuring transaction consummated though a prepackaged Chapter 11 proceedings in the Bankruptcy Court for the Southern District of New York
  • Pacific Gas and Electric Company/PG&E, representing large institutional fund client in Chapter 11 proceedings in connection with rescission and damage claims arising from holdings of debt and equity securities
  • Connections Community Support Programs, representing leading provider of substance abuse treatment services in connection with a potential acquisition of behavioral health and substance abuse clinics out of Chapter 11 proceedings
  • Mallinckrodt, representing clinical stage biotechnology company in connection with a potential acquisition out of Chapter 11 proceedings relating to treatment of rare genetic disease
  • Cred, Inc., representing cryptocurrency brokerage and asset management corporation as defendant in preference action in Chapter 11 proceedings arising from cryptocurrency loan agreement and related redemptions
  • Institutional Landlord Representations, representing institutional landlords in connection with lease claims in the Ascena, Regus Holdings, GNC, J. Crew, J.C Penney, and Tailored Brands Chapter 11 proceedings
  • Residential Capital, represent expert for Steering Committee in Chapter 11 proceedings on issue of reasonableness of certain fee claims*
  • Tribune Co., representing significant holder of pre-LBO debt of the Tribune Company in connection with confirmation of competing plans of reorganization and approval of a proposed settlement under Rule 9019 of the Federal Rules of Bankruptcy Procedure*
  • Washington Mutual, representing significant bondholders in connection with insider trading allegations and objections to confirmation of Chapter 11 plan*
  • Lehman Brothers, representing Bank of Montreal in connection with multi-million dollar swap claim in Chapter 11 proceedings*
  • Dewey & LeBoeuf, representing Lloyd’s of America and former law firm partners in the firm’s Chapter 11 proceedings*
  • Mervyn’s, Linens ‘n Things, Powermate, Fluid Routing Solutions, representing companies as debtors in possession in their Chapter 11 proceedings*

  • Form Technologies, representing Partners Group in connection with a $1.2 billion comprehensive out of court recapitalization and debt exchange transaction for a leading global group of precision component manufacturers, successfully eliminating approximately $240 million of total funded debt from the company’s balance sheet
  • SolarWorld Americas, representing Solar energy equipment supplier in connection with its orderly wind-down effected via assignment for the benefit of creditors under Delaware state law
  • Portfolio Company Representations, representing portfolio companies of private equity firm clients in non-public distressed M&A, debt restructuring and wind-down transactions

  • Vallourec, representing the RCF Ad Hoc Committee Lenders in connection with the financial restructuring of French corporation, resulting in 3.5 billion Euro reduction of indebtedness

Professional Experience

Prior to joining Goodwin, Kizzy was Vice President and Assistant General Counsel in the Corporate and Investment Bank of JPMorgan Chase Bank, N.A. She has also worked as a financial restructuring associate in the New York offices of Stutman, Treister & Glatt, Friedman Kaplan Seiler & Adelman and Morgan Lewis & Bockius. During law school, she served as a judicial extern to The Honorable Barbara S. Jones of the U.S. District Court for the Southern District of New York.

Kizzy is a member of the American Bankruptcy Institute and the New York State Bar Association. She is also a member of the VALCON Advisory Board.

In recognition of her work, Kizzy was selected as a 2017 Rising Star in Bankruptcy by Super Lawyers, a member of Class V of the International Insolvency Institutes’ NextGen Leadership Program (2016), and a member of the Next Generation Program for the National Conference of Bankruptcy Judges (2016)
