Achal Oza is an associate in Goodwin’s Strategic Technology Transactions and Licensing Practice. He joined Goodwin in 2010.  Mr. Oza concentrates on technology and intellectual property transactions, including commercial contracts for consumer web and enterprise technology companies; technology licensing, strategic alliance and joint development agreements; open source issues and due diligence; and other intellectual property issues in mergers, acquisitions and venture capital and private equity transactions.

  • WiTricity, Inc., a pioneer in wireless power transfer, in its strategic intellectual property license agreements, including licenses with:
    • Intel. Intel licensed WiTricity’s patented technology to enable efficient, high performance wireless charging solutions for computing devices powered by Intel.
    • Toyota Motor Corporation. Toyota licensed WiTricity’s patented technology to incorporate wireless charging capabilities into its rechargeable hybrid electric and battery operated vehicles.
    • TDK Corporation.  TDK licensed WiTricity’s patented technology to create efficient, high performance wireless charging solutions for carmakers, allowing next generation hybrid electric and battery operated vehicles to charge effortlessly by simply parking over a TDK wireless charging pad.
    • Delphi Automotive.  Delphi licensed WiTricity’s patented technology to develop automatic wireless charging products for hybrid electric and battery operated vehicles to establish a global infrastructure of safe,convenient charging options for consumer and commercial electric vehicles.
  • Charlesbank Capital Partners in its acquisition of Tecomet, a leading contract manufacturer of complex components for the medical device and aerospace industries.
  • Utopus Insights, Inc., provider of next generation intelligent energy solutions, in its strategic partnership with Vermont Electric Power Company to create dependable, industry-tested software that will be indispensable to the current and growing customer demand for reliable, clean and cost-effective energy.
  • Adelphic, Inc., a leading mobile and cross-channel demand-side platform, in its agreement to be acquired by Time Inc.
  • TeraDiode, Inc., a global laser supplier of high brightness direct diode lasers for industrial use, in its agreement to be acquired by Panasonic Corporation.
  • Neustar, Inc., a global information services provider and leader in connection science, in its agreement to be acquired by a private investment group led by Golden Gate Capital under a transaction valued at approximately $2.9 billion.
  • Citrix Systems in the combination of its GoTo business with LogMeIn Inc. through a Reverse Morris Trust transaction valued at approximately $1.8 billion.
  • Atypon Systems, Inc., a trusted technology partner that enables scholarly societies and publishers to deliver, host, enhance, market and manage their content on the web, in the sale of its business for $120 million to John Wiley & Sons, Inc., a global provider of knowledge and knowledge-enabled services that improve outcomes in research, professional practice and education.
  • Linxens Group, a global leader in the design and manufacture of smartcard connectors, inlays and LED light sources, in the purchase from Smartrac Technology Group of its secure ID and transactions business division.
  • Cybereason, Inc., a leading provider of a real-time attack detection and response platform that uses endpoint data to detect simple and complex threats, in its formation of a joint venture with SoftBank, under which the joint venture will be the exclusive provider of the Cybereason Endpoint Detection and Response Platform and managed security services in Japan.
  • Cognex Corporation, a leader in the machine vision industry, in the sale of its Surface Inspection Systems Division used to inspect surfaces of continuously processed materials for flaws and defects to AMETEK, Inc. for approximately $160 million.
  • Compusearch Software Systems, Inc., a leading provider of acquisition and program management software to federal agencies, Department of Defense program offices and government contractors, in the sale of its equity to ABRY Partners.
  • New Balance Holding, Inc., a global athletic leader, and Berkshire Partners, LLC, a Boston-based investment firm, in their purchase from the adidas Group of The Rockport Company, a leading designer and marketer of high-quality comfort footwear for men and women.
  • ANSYS, Inc., a global leader and innovator of engineering simulation software, in its acquisition of Newmerical Technologies International, a premier developer of in-flight icing simulation software and associated design, testing and certification services.
  • OSP Group (now Fullbeauty Brands), a premiere brand portfolio of women’s apparel, shoes, lingerie and swimwear dedicated exclusively to plus sizes, in its acquisition of swimsuitsforall, a leading online retailer of swim and resort wear for full-figured women.
  • Bit9 (now Carbon Black), a leader in advanced threat protection for endpoints and servers, in its license agreement with Dell SecureWorks, under which Dell will include Carbon Black software as a key component of its new Advanced Endpoint Threat Detection managed service enabling the provision of continuous, real-time monitoring of enterprise endpoints (laptops, desktops and servers) for signs of malicious activity.
  • TA Associates in its investment in and recapitalization of Prometheus Group, an enterprise application software company dedicated to improving the usability of SAP plant maintenance.
  • Hasbro, Inc., a global branded play company and owner of some of the world’s most popular brands, in its acquisition of a 70% interest in mobile game maker, Backflip Studios, for $112 million.
  • TA Associates in its $76 million investment in Coaxis Inc., parent company of Viewpoint Construction Software, a leading provider of financial and accounting compliance, operational, project and document management software for global construction companies.
  • Goldman Sachs in its $43 million growth equity investment in uTest (now Applause App Quality), which provides software testing services, usability feedback and related research.
  • Goldman Sachs in its growth equity investment in MetricStream, a leading provider of enterprise-wide software solutions enabling comprehensive and integrated corporate governance, risk management and regulatory compliance.
  • Goldman Sachs in its $100 million growth equity investment in Applied Predictive Technologies, a cloud-based predictive analytics software company.
  • Goldman Sachs in its $52 million growth equity investment in AnchorFree Inc., best known for its desktop software, Hotspot Shield, a VPN service which allows users to browse the Internet safely and anonymously.
  • Primus Capital Funds in its significant growth investment in Emmi Solutions, a leader of outcome-driven patient engagement and provider of a comprehensive suite of multi-modal patient engagement and empowerment technology solutions designed to reduce costs, increase revenue and improve clinical outcomes for healthcare providers and payers.
  • Haemonetics Corporation in its approximately $550 million acquisition of the blood collection, filtration and processing product lines of Pall Corporation.
  • iRobot Corporation in its $74 million acquisition of Evolution Robotics, the developer of an automatic floor cleaning robot now branded as iRobot Braava.
Professional Activities

Mr. Oza is a member of the Boston Bar Association and the American Bar Association.

Professional Experience

Prior to joining Goodwin, Mr. Oza practiced as a Litigation Fellow at the Lawyers’ Committee for Civil Rights Under Law of the Boston Bar Association, where he represented clients in matters dealing with employment discrimination, housing discrimination, police misconduct, voting rights, environmental justice and constitutional law. Prior to his legal career, Mr. Oza developed software used to create immersive graphical simulations designed to assess the performance of automobile drivers responding to a variety of scripted scenarios within a virtual environment.

Recognition

In 2009, Mr. Oza was awarded the Jan Jancin Award for his scholarship in the Intellectual Property Law field by the Intellectual Property Law Education Foundation along with the Intellectual Property Law Section of the American Bar Association and the American Intellectual Property Law Association. While attending law school, he was the Senior Note Development Editor for the Boston University Law Review.
