William Burnet Pearce

William Pearce is a partner in Goodwin’s Business Law Department and a member of its Leveraged Finance and Private Equity Practices. Mr. Pearce represents private equity sponsors as well as public and private companies in connection with the structuring and negotiation of secured and unsecured domestic and cross-border debt financing transactions, including senior, mezzanine and subordinated debt facilities, acquisition-financing transactions, working capital facilities and loan workouts and restructurings. Mr. Pearce joined Goodwin in 2013.

Experience

Mr. Pearce’s recent work has included representing:

  • Luxury resort and gaming company in connection with $3 billion restructuring of indebtedness
  • Private Equity Sponsor and Borrower in connection with a $1.185 billion ABL revolver and first/second-lien term loan syndicated financing arrangements co-led and arranged by Goldman Sachs and Barclays in connection with private equity-backed acquisition of leading manufacturer and distributor of cheerleading and dance apparel and graduation and education memorabilia
  • Nike, Inc. in connection with a $2 million revolving credit facility
  • Global shipping company in connection with $508 million and $273 million first- and second-lien credit facilities in connection with bankruptcy exit facilities
  • Private Equity Sponsor and Borrower in connection with a $240.5 million first-lien term loan and revolver and unsecured mezzanine facility to finance acquisition of generic pharmaceutical company
  • Albany Molecular Research, Inc. in connection with a $230 million first-lien term loan and revolver to finance acquisition of Gadea Grupo Farmaceutico, S.L., a Spanish pharmaceutical company
  • Private Equity Sponsor and Borrower in connection with $180 million first-lien term loan and revolver to finance acquisition of financial and insurance solutions provider
  • Private Equity Sponsor and Borrower in connection with a $85 million first-lien term loan and revolver to finance acquisition of enterprise data, analytics and software and service company
  • Private Equity Sponsor and Borrower in connection with a $25 million first-lien ABL revolver to finance acquisition of keg leasing company
  • Consortium of venture capital investors in connection with $16 million subordinated convertible notes investment in geosciences company
Professional Experience

Prior to joining Goodwin, Mr. Pearce was an associate at multinational law firms in New York, London and San Francisco.

Recognition

While attending law school, Mr. Pearce was Editor-in-Chief of the Emory International Law Review and was nominated to Who’s Who among Students in American Colleges and Universities.
