Andrew C. Sucoff

Andy Sucoff, chair of Goodwin’s Boston office, is a partner in and former co-chair of the firm's Real Estate Group. He represents REITs, institutional investors, pension fund advisors, underwriters, commercial and retail tenants, developers, and other owners and operators of commercial real estate on a wide variety of complex commercial real estate matters throughout the United States. Mr. Sucoff has been recognized as one of Massachusetts’ leading real estate attorneys by Chambers USA: America’s Leading Lawyers for Business.

Since 2011, Mr. Sucoff has joined other Goodwin attorneys and professional staff to cycle 160 miles over two days in the Pan-Mass Challenge, a charity bike ride which raises money for the Dana-Farber Cancer Institute. Team Goodwin has raised nearly $955,000 for cancer research and treatment.

Mr. Sucoff is a member of the Boston and American Bar Associations, as well as the Real Estate Finance Association.


Mr. Sucoff has been selected for inclusion in Chambers USA: America's Leading Lawyers for Business since 2007, and he has been recognized by U.S. News-Best Lawyers and The Legal 500 U.S. for his work in the real estate industry.

Areas of Practice


Mr. Sucoff has extensive experience on transactions involving shopping centers, multi-family properties, assisted living facilities, industrial properties, office buildings, casinos and hotels. He has represented various clients with multi-state acquisition, leasing, financing and disposition programs and also regularly represents corporate clients on a wide range of real estate related matters. Recently, Mr. Sucoff represented:

  • Kimco Realty in its $270 million acquisition of 24 retail properties in the New England region, totaling 1.4 million square feet of retail space
  • A non-exchange traded REIT in the real estate aspects of its announced multi-billion dollar merger with a listed REIT to create the second largest publicly traded triple-net-lease REIT in the United States
  • The special committee of the board of directors of an externally advised public mortgage REIT in the real estate aspects of its merger with the parent of its advisor
  • A public REIT specializing in shopping centers with the sale of 36 retail shopping centers in Florida, Georgia, Alabama, Tennessee, South Carolina, North Carolina and Maryland
  • A public REIT specializing in shopping centers in its acquisitions of six shopping centers in Colorado and Arizona
  • A public REIT specializing in shopping centers with the sale of a seven-property portfolio of grocery-anchored shopping centers located in Georgia
  • A public REIT in a programmatic joint venture with a foreign investor to acquire retail properties throughout the United States
  • A mall owner/operator in a joint venture acquisition and financing of a mall in Manassas, Virginia
  • A private real estate investor in the recapitalization and subsequent sale of a portfolio of multi-family apartment communities in nine states
