Goodwin Taps Former SEC Counsel Sean Donahue to Lead Public Company Advisory Practice

Global law firm Goodwin announced today that Sean Donahue has joined the firm as chair of its Public Company Advisory Practice and partner in its Technology practice. He is based in the firm’s Washington, D.C. office.

“Sean’s experience with capital markets transactions and SEC regulatory matters is unrivaled, and further bolsters our leading offering for public companies,” said Ken Gordon, co-chair of Goodwin’s Technology practice. “We are thrilled to continue to provide first-rate support to our clients as we take an institutional approach to SEC reporting and securities law matters under Sean’s leadership.”

Donahue counsels public companies and their boards of directors on securities regulation, capital markets transactions, and corporate governance matters. He draws on his private practice and SEC experience to advise on SEC public reporting, ESG matters, securities offerings, mergers and acquisitions, proxy contests, tender offers, going-private transactions, and NYSE and Nasdaq compliance issues. Donahue leverages the knowledge he gained from his tenure in the SEC’s Disclosure Operations group and Office of Small Business Policy to advise companies, investment funds, and financial sponsors on initial public offerings, SPAC transactions, and securities regulatory matters.

“Goodwin’s focus on the intersection of capital and innovation puts the firm at the forefront of capital markets activity and allows us to work with some of the most transformative companies of our time,” said Donahue. “I’m excited to work with the firm’s existing public company clients and world-class team of lawyers as we continue to deliver high-value advice on securities regulation, capital markets transactions, and corporate governance matters.”

Goodwin advises more than 400 public companies in a variety of corporate and litigation matters. The firm’s Capital Markets practice was ranked in Chambers USA 2021, which also recognized Goodwin’s status as the law firm at the intersection of capital and innovation around the world. Bloomberg named Goodwin the number three legal advisor (by deal count) for US equity offerings in 2020.
