Goodwin Advises FLEX Capital Portfolio Company Omikron on the Acquisition of COPS

Goodwin advised Omikron, a portfolio company of FLEX Capital, on its acquisition of COPS, a provider of treasury management software.

The transaction combines Omikron’s payments and cash management software with COPS’ treasury management capabilities to create an integrated payments and treasury software platform serving corporate customers across the DACH region. The combined group serves more than 700 corporate customers and employs approximately 150 professionals across Germany and Austria. 

FLEX Capital is a private equity fund founded by successful serial entrepreneurs that invests in profitable and growing companies from the German Internet and software midmarket. Announced in early 2023, the second fund of €300 million includes a commercial structure for the first time, enabling FLEX Capital to provide operational support to portfolio companies with a purpose-built 30-person team of experts, differentiating the investor from many other private equity funds. Currently, the FLEX portfolio comprises eleven business platforms. 

With more than 40 years of experience in the financial sector, Omikron is one of the leading providers of e-banking and payment factory solutions. With its electronic banking system multicash, Omikron offers modular, multi-bank standard software for corporate customers and banks to process payments and manage cash. Founded in 1983 as a family business, the company today employs around 91 people at its headquarters in Cologne and serves more than 650 direct corporate customers with its solutions. Omikron is a portfolio company of FLEX Capital.

Founded in Vienna in 1979, COPS specialises in treasury management with its software solution corima. The modular system covers all areas of corporate treasury, risk management, portfolio and asset management, budget planning, accounting and hedge accounting. COPS employs around 65 people at its locations in Vienna (headquarters), Wetzlar, and Hamburg and serves numerous large caps and enterprise customers from banking, insurance, and corporate treasury with corima.
