Victor Chen is a partner in Goodwin’s Private Equity group. Mr. Chen represents leading private equity sponsors, corporations and institutional investors on their cross-border mergers and acquisitions and investments. He has over 20 years of experience advising clients on their most significant and complex corporate transactions, including mergers and acquisitions, leveraged buy-outs, take-private transactions, PIPEs, joint ventures, and growth equity investments across a wide variety of sectors and industries.

He is ranked by Chambers Greater China Region as a Leading Individual for “Private Equity: Buyouts & Venture Capital Investment” and recognized in The Legal 500 Asia Pacific as one of the “prominent names in the Asia private equity scene” and noted for his ability to “think outside the box” and “find novel solutions.”

Mr. Chen has served as counsel to:

  • FountainVest on the $1.37 billion IPO of its portfolio company, Amer Sports, a global group of iconic sports and outdoor brands including Arc’teryx, Salomon, Wilson, Atomic and Peak Performance. 
  • LionRock Capital on its acquisition of Haglöfs AB, a leading outdoor performance brand, from ASICS Corporation
  • Softbank Group Corp. as lead investor in its investment in the $280 million Series E financing round of Mapbox, a location platform powering navigation
  • FountainVest Partners in connection with its acquisition of CFB Group, a China-based multi-brand food and beverage platform operator that is world’s largest franchisee of Dairy Queen and one of the largest franchisees of Papa John’s Pizza outside of the United States 
  • FountainVest Partners in connection with its US$900 million acquisition of Beijing Zhendong Langdi Pharmaceutical Co., Ltd. 
  • FountainVest Partners in connection with its acquisition of China-based logistics enterprise CJ Rokin Logistics and Supply Chain
  • FountainVest Partners in a number of significant Greater China transactions, including its investments in 360 Finance, Laobaixing Pharmacy, Maoyan Entertainment, Meituan-Dianping, and Fangdd.com
  • Horizons Ventures, the technology investment arm of Li Ka-Shing, in a number of its private and public company investments, including Zoom Video Communications, Impossible Foods, Airwallex, ChromaDex Corporation, Celsius Holdings and Perfect Day
  • Hillhouse Capital and its affiliates on a number of its investments in China, Hong Kong and the U.S.
  • LionRock Capital in connection with its acquisition of a majority stake in leading shoe manufacturer and retailer Clarks
  • LionRock Capital in connection with its investment in the football club Inter Milan
  • FountainVest Partners in the sale of its interests in Focus Media, a leading digital marketing company listed on the Shenzhen Stock Exchange, to the Alibaba Group

  • The buyer consortium (including The Carlyle Group, FountainVest Partners, and CITIC Capital Partners) in connection with the US$3.7 billion acquisition of Focus Media, China’s then-largest leveraged buy-out (awarded “Global M&A Deal of the Year: China Private Equity” by The American Lawyer (2014) and “Private Equity Deal of the Year” by IFLR (2014) and China Law & Practice (2013))*
