Audra Cohen is a partner in Goodwin’s Private Investment Funds practice and Real Estate Industry business unit. She advises sponsor clients on all aspects of fund formation, fundraising, negotiations, and ongoing compliance in connection with real estate funds, real estate credit funds, infrastructure funds, and private equity buyout funds. For real estate and infrastructure funds, Audra specializes in the core and core-plus open-end space.

Audra also regularly advises sponsors on compliance with the Investment Advisers Act and the “bad actor” rule in addition to other regulatory compliance matters, fund-related aspects of real estate and mergers and acquisitions transactions, other liquidity transactions, and internal sponsor governance and economic arrangements.

Experience

Audra’s experience includes the representation of:

  • Carlyle in connection with multiple fundraises, including the $18.5 billion Carlyle Partners VII, the $13 billion Carlyle Partners VI, and the $1 billion Carlyle Global Financial Services Partners II and various co-investment vehicles*
  • Blackstone in connection with: 
    • Its Blackstone Property Partners US and Blackstone Property Partners Europe investment programs and various co-investment vehicles*
    • Its $14.6 billion recapitalization of BioMed Realty*
    • A $600 million capital raise by Harrington Reinsurance Holdings Limited*
    • Its C$3.8 billion acquisition of Pure Industrial Real Estate Trust (PIRET) and PIRET in the subsequent $730 million sale of its US assets to WPT Industrial REIT*
    • Its strategic acquisition of Strategic Partners*
  • Alinda Capital Partners in connection with the establishment of Alinda Infrastructure Fund III and related co-investment arrangements*
  • Oaktree Capital Group in connection with its sale of approximately 62% of the Oaktree business to Brookfield Asset Management Inc.*
