Griffin Drake is a partner in the firm’s Business Law department and a member of its Technology group. Griffin specializes in corporate and securities law with a primary focus on capital markets transactions and public company compliance, disclosure, and governance matters. Griffin also has extensive experience advising companies throughout the corporate lifecycle and on public and private M&A transactions. Griffin joined Goodwin in 2021.

Griffin has represented a diverse set of issuers, underwriters and investors across the technology and life sciences industries on a variety of complex transactions and matters. A selection of Griffin’s representative matters includes:
- IPOs and Equity Offerings. Represented issuers and underwriters in IPOs, follow-on and secondary offerings, registered direct offerings, and private placements, including transactions involving Netskope, AbCellera Biologics, Nektar Therapeutics, PDF Solutions, Amplitude, Magnachip Semiconductor, VSE Corporation, Spruce Biosciences, ImmunityBio, ThredUp, Hyperion DeFi, TPI Composites, Evelo Biosciences, and SkyWater Technology.
- Debt Transactions. Represented issuers and underwriters on convertible, high-yield and investment-grade debt offerings involving Ligand Pharmaceuticals, RingCentral, Impinj, Bitdeer, Semler Scientific, Howard Hughes*, Crown Castle*, and O’Reilly Automotive*.
- At-the-Market Offerings. Represented issuers and sales agents in “at-the-market” offerings for life sciences and tech companies involving ImmunityBio, Magnachip Semiconductor, Spruce Biosciences, Nektar Therapeutics, Fulcrum Therapeutics, and Hyperion DeFi.
- Public Company Counseling. Advised public companies – including PennyMac Financial Services, and FibroBiologics – on SEC reporting, disclosure, corporate governance, proxy statements, and Section 16 compliance.
- Private Capital Transactions. Advised ICONIQ Capital, Sixth Street Partners, Eclipse Ventures, Foris Ventures and Flagship Pioneering on investments, portfolio-company transactions and public company readiness, disclosure, and related matters.
- Mergers and Acquisitions. Represented buyers and sellers in M&A transactions involving companies in a range of industries, including technology, green energy, food and beverage, consumer products, SaaS, and infrastructure.
- Joint Ventures and Strategic Transactions. Advised companies on joint ventures and other strategic transactions, including Nutrabolt in its sale of a minority interest to Keurig Dr. Pepper and Nutrabolt’s joint venture investment in, and subsequent acquisition of a majority stake in, Bloom Nutrition.
