Eric Graffeo

Eric Graffeo is Counsel in the firm’s ERISA & Executive Compensation practice and counsels public and private companies on a wide range of equity, compensation, and employee benefit matters, as well as on tax and securities law issues in connection with equity-based arrangements and other types of incentive plans.

Mr. Graffeo’s practice includes:

• Counseling on the executive compensation and employee benefits aspects of mergers and acquisitions, financings, initial public offerings, spin-offs, and other corporate transactions.
• Structuring, negotiating, and implementing employment, severance, and change in control agreements, deferred compensation plans, and equity and other incentive compensation plans and arrangements.
• Providing advice and counsel on all aspects of compliance for retirement plans and health and welfare plans.
• Preparing compensation disclosures for proxy statements and other public filings.

Mr. Graffeo has recently represented:

• Melio in its acquisition by Xero for up to $3 billion
• Arthrosi Therapeutics in its sale to Sobi for up to $1.3 billion
• Superhuman Labs in its sale to Grammarly
• Amobee in its acquisition by Singapore Telecommunications Limited for cash consideration of approximately $321 million
• InTandem Capital Partners, its affiliated investment funds and portfolio companies in connection with its majority investments in and/or add-on acquisitions by Paradigm Oral Surgery
• Edgio in connection with its acquisition of Edgecast from Yahoo and its acquisition of Layer
• HLTH in its sale to Hyve
• Forge Global Holdings in its acquisition of Accuidity 
• Bloomreach in its acquisition of Radiance Commerce
• LetsGetChecked in its acquisition of Truepill
• Vartana in its sale to Capchase
• Krebs Stamos Group in its sale to SentinelOne
• American Battery Solutions in connection with its sale to Komatsu
