Elizabeth Kates is a partner in the firm’s Business Law department and is a member of the Private Equity and Debt Finance groups. Elizabeth primarily represents private equity sponsors and private and public companies and lenders in structuring and negotiating secured and unsecured debt financing transactions, including leveraged buyouts, acquisition-financings, recapitalizations, refinancings, and restructurings. She has represented clients across a range of industries, including the technology, software, healthcare, financial services and manufacturing sectors.  She joined Goodwin in 2017.

Experience

Elizabeth’s recent work has included assisting with the representation of:

  • A leading private equity firm in connection with a $1.0 billion unitranche loan in connection with the acquisition of a health technology and software provider 
  • A leading private equity firm and their portfolio company, a market leader in professional services payments, in connection with an add-on acquisition at a combined enterprise value of $2.4 billion 
  • A private equity firm in connection with a $157.5 million term loan and $15.0 million revolver in connection with the acquisition of one of the largest intermodal logistics services providers in North America
  • A private equity firm in connection with the refinancing of a $45.0 million term loan and $50.0 million asset-based revolving loan for a portfolio company in the home heating industry
  • An administrative agent in a private equity-sponsored leveraged buyout of a leading manufacturer and distributer of gas cans and related products with term loan and revolving credit commitments of approximately $95.0 million in the aggregate
  • Great Hill Partners in its acquisition of a controlling equity stake in Clearwave Parent, Inc. at an enterprise value of $300.0 million
