Cecelia Lockner, a partner in Goodwin’s Complex Litigation & Dispute Resolution practice, has been practicing in the areas of insurance, indemnification and risk management for more than 10 years. Ms. Lockner’s work has focused on advising private equity, hedge fund and corporate clients on matters related to directors and officers (D&O) liability and insurance, professional liability insurance for financial institutions, and transactional liability insurance (including representation and warranty (R&W) insurance, tax indemnity insurance and litigation buyout policies). Her work focuses not only on negotiating and placing policies, but also assisting clients in obtaining payment under such policies when claims arise.

Ms. Lockner started her legal career as a litigator, primarily focused on insurance claims and defense on behalf of insurance companies. Her work in the various realms of the insurance industry gives her a deep knowledge and relationship base within the industry.

Experience

  • Negotiated and placed one of the largest R&W insurance placements (nearly $1 billion in insurance limits) on a highly complex $13 billion deal under tremendous time constraints.
  • Advised a large private equity client on placement of general partner liability policy tower, and assisted the same client in obtaining a large monetary recovery from insurers for numerous complex claims.
  • Advised numerous renewable energy and complex healthcare clients in placing transactional liability insurance to facilitate deals to be done on a public company basis.

Professional Experience

Ms. Lockner spent three years as a licensed insurance broker with Aon, placing representation and warranty insurance policies for mergers and acquisitions and obtaining payment on claims under those policies. In addition, she was a demand planning manager for Converse prior to practicing law and therefore has deep knowledge of the inner workings of global manufacturing companies.
