Herb Moore is counsel in Goodwin’s Technology Industry group and Private Investment Funds practice. Herb focuses his practice on advising venture capital clients on fund formation and fund management matters as well as representing institutions investing in private investment funds. He drafts, reviews and negotiates offering documents, limited partnership agreements, operating agreements, subscription agreements, side letters and other agreements in connection with the formation of and investment in private investment funds. He also has experience handling venture capital investment transactions as firms identify and invest in technology companies across geographies and industries.
Experience
Herb's recent experience prior to joining Goodwin includes representing:
- Harlem Capital, one of the earliest diversity-focused venture capital firms, on the formation of its $40 million inaugural Fund I and the firm’s $134 million Fund II, which are providing capital and resources to diverse founders tackling unique problems
- Differential Ventures, an early-stage venture capital firm founded by data scientists and entrepreneurs, on the formation of its $20 million Fund I and the firm’s $50 million Fund II, which are investing in B2B data technology startups poised to transform the way business works
- A Fortune 500 insurance and investment management company on institutional investments in early-stage venture capital funds
- A mid to late stage growth equity fund on the secondary purchase of equity in a next generation financial services company
- Several early-stage technology companies on formation, financing and commercialization matters
- A seed-stage venture capital fund on venture investments in several portfolio companies including an unmanned aerial vehicle (UAV) company, a leading online identity verification company, a leading insuretech company and a high growth meal kit delivery company

Professional Experience
Prior to joining Goodwin in 2022, Herb was most recently special counsel at McCarter & English, LLP in the Venture Capital & Emerging Growth Companies Practice group. In this role, he advised early-stage venture capital fund clients on fund formation and venture capital transactions. He also counseled early-stage, emerging growth and middle market technology companies on a diverse range of corporate matters, including, entity formation, financing transactions, complex commercial agreements, corporate governance, and general corporate matters. Herb brings a unique background also having been in-house counsel at a leading early-stage venture capital firm, which deepens his understanding of his clients.
