Gail Pierce is a counsel in the firm’s Business Law Department, and a member of the Technology group as well as the Capital Markets and Public Company Advisory practices. Ms. Pierce focuses her practice on publicly traded company representation, including matters related to corporate governance and securities law compliance, drawing from her SEC, private practice, and PCAOB experience.
Ms. Pierce is admitted to practice in the District of Columbia and Massachusetts.

Professional Activities
Prior to joining Goodwin, Ms. Pierce was most recently a Senior Associate General Counsel at the Public Company Accounting Oversight Board. Prior to that, she was a securities associate at Morgan Lewis and, prior to that, an attorney-adviser in the Division of Corporation Finance at the U.S. Securities and Exchange Commission. While at the SEC, Ms. Pierce focused on transactional and securities law compliance matters, and was a member of the Office of Chief Counsel’s Rule 14a-8 Shareholder Proposals Taskforce for two proxy seasons.
