Mark Samra is an associate in Goodwin’s Technology business unit and Private Investment Funds practice. His practice is focused on the representation of domestic and international venture capital, growth equity and private equity funds and funds of funds. He advises clients on both formation and fundraising activities, as well as ongoing regulatory compliance, investor relations, governance, and administration. He also represents fund sponsors in connection with a variety of transactional and regulatory matters, and assists institutional investors with negotiating significant investments in private funds.

As fund counsel, Mark regularly works with clients on all aspects of the fundraising process, including drafting, reviewing or addressing structural issues, term sheets, private placement memoranda, partnership or operating agreements, and investor subscription agreements; advising regarding applicable state and federal securities laws; investor negotiations and relations; internal general partner and management company governance; drafting fund contracts with service providers and investment adviser regulation.

Professional Experience

Prior to joining Goodwin, Mark was an associate at Cooley in the firm’s Fund Formation practice. Previously, Mark was an associate in the Fund Formation group at Greenberg Traurig and an associate in the Investment Management group at Seward & Kissel.

While in law school at Boston University, Mark was executive editor of the Review of Banking and Financial Law.
