Matt Smith is an associate in Goodwin’s Private Equity group and a member of the firm’s Healthcare practice. His practice focuses on healthcare regulatory issues related to healthcare transactions and operations.

Matt advises investors, healthcare companies, and healthcare providers on corporate and regulatory issues, including those impacting healthcare mergers, acquisitions, dispositions, joint ventures, restructurings, and reorganizations. Clients seek his advice on matters including corporate structuring for regulatory compliance, telehealth guidance and compliance, reimbursement issues, including commercial payors, state licensing, Medicare and Medicaid issues, and fraud and abuse advice and counseling, including advising on the Federal Anti-Kickback Statute, the Physician Self-Referral Law (the Stark Law), and the False Claims Act. Healthcare clients across the healthcare spectrum rely on his advice, including retail and long-term care pharmacies, telehealth companies, hospitals, hospice, home health, ambulatory surgery centers, nursing facilities, and physician or other provider groups. He regularly advises portfolio companies and emerging companies on regulatory and related corporate issues.

Experience

Matt was introduced to health law prior to law school while working for a medical device start-up and prizes the practical business perspective he is able to apply to clients’ regulatory issues. Representative transactions include:

  • Served as US regulatory counsel for UK life sciences company’s acquisition of a US telemedicine company
  • Regulatory counsel to PBM-like entity in its sales transaction
  • Represented long term care pharmacy in its carve-out acquisition of pharmacies from a national competitor
  • Represented private equity fund in acquisition of pharmacy chain
  • Represented private equity sponsored rehabilitation provider to nursing facilities on regulatory matters
  • Represented regional laboratory provider (pathology group) in its $300M acquisition by a private equity group
  • Represented an 11-hospital regional, non-profit health system in its merger with its major regional competitor, involving opposition to merger plan from FTC on anti-trust grounds (estimated combined entity value of approximately $3B)
  • Represented publicly traded intra-operative neuromonitoring company in its $50M acquisition of regional competitor
  • Represented non-profit health system in buy-out of joint venture partners in group of related radiology and diagnostic imaging companies
  • Represented non-profit health in joint venture with an orthopedic surgery center
  • Represented national laboratory provider in proposed $15M acquisition of regional competitor 
  • Represented dental management company in buy-out of dental practice
  • Represented radiation oncology management company in development of new cancer centers with local partners
