Paul Verbesey is a partner in the firm’s Private Equity group and former co-chair of the Private Investment Funds practice. Paul focuses his practice on the structuring, formation and operation/ongoing management of a variety of private investment vehicles, including real estate funds, private equity funds, natural resources funds and securities funds, and their management companies. His corporate practice has also included work in mergers and acquisitions, corporate finance, securities, real estate securities and capital markets and venture capital/private equity. Paul is a member of the firm’s Pro Bono Committee. Paul joined Goodwin in 1998.
Experience
Paul’s experience in the private investment funds area includes establishing a variety of private funds through US and international securities offerings (including those in the form of limited partnerships, limited liability companies, real estate investment trusts and various non-US investment vehicles), representing fund sponsors and investors in the preparation and negotiation of fund formation and investment documents, and counseling fund sponsors and managers with respect to a variety of ongoing fund matters and internal operational and compensation matters. In addition to structuring private offerings in a manner that avoids registration under the Securities Act of 1933, he has experience advising clients with respect to the Investment Company Act of 1940 and the Investment Advisers Act of 1940. Paul also has experience advising fund clients with respect to compliance with Islamic law, or “shari’a.”
