Victoria Woodward

Victoria Woodward is an associate in the Private Equity group at Goodwin. Her practice focuses on Private Equity specializing in M&A. She started at the firm in 2021.

Victoria represents traditional private equity sponsors and their portfolio companies with respect to leveraged buyouts, mergers and acquisitions, strategic add-on transactions, recapitalizations, exit transactions or other liquidity events, and other corporate transactions, across a wide range of industries. Victoria also has extensive experience with portfolio company management and advising on general corporate and governance matters.

In addition to her work in Private Equity, Victoria has significant experience representing investors in growth equity investments.

Victoria’s recent experience includes:

• WisdomTree, Inc.’s acquisition of Ceres Partners, an alternative asset manager specializing in farmland investments;
• Bregal Sagemount’s investment in Transflo, a provider of mobile business intelligence and payments facilitation tools to the transportation sector, in partnership with True Wind Capital;
• Bregal Sagemount’s investment in Optima Partners, a provider of specialized compliance advisory services to the investment management industry in the United States, United Kingdom and Hong Kong;
• Bregal Sagemount’s investment in Bradford Airport Logistics, a leading provider of advanced logistics services to airports and other transportation hubs;
• Lime Rock New Energy’s auction sale of Electric Power Engineers, an energy and power systems engineering and consulting firm, to Berkshire Partners;
• LoopMe, Inc.’s acquisition of Chartboost, Inc. a mobile advertising and monetization platform, from Zynga Inc., a wholly-owned publishing label of Take-Two Interactive Software (NASDAQ: TTWO);
• Alpine Investors auction sale of Lightwave Dental, a management services partner for high-quality dentists, to Lindsay Goldberg; and
• Education Growth Partners’ growth equity investments in ClassWallet, Uwill, Ubeya and Vivvi.

Prior to joining Goodwin, Victoria was an associate at Dechert LLP, where she was a member of the M&A and Private Equity practice group. Previously, Victoria also practiced at another leading international law firm in New York and for NBCUniversal’s legal department in Los Angeles.
