The recent rise in the use of public token offerings (or what some people refer to as initial coin offerings, or ICOs) to raise capital compels an evaluation of the legal, structural, and operational issues raised by this relatively new form of financing. Public token offerings are outpacing the establishment of comprehensive and clear regulatory scheme under U.S. securities laws.
