Goodwin Procter Adds New Partner in Palo Alto

Firm Continues to Strengthen West Coast Corporate Practice with Addition of Scott Wornow as Partner

BOSTON, Mass., Jan. 8, 2008 – Goodwin Procter LLP, one of the nation’s leading law firms, today announced the addition of Scott M. Wornow as a partner to its corporate and technology practice in Northern California. He is the 23rd attorney to join the firm’s Palo Alto office this year.

Wornow brings nearly 20 years of technology, capital markets, securities, M&A and general corporate experience to the firm, joining Goodwin Procter after holding senior executive and general counsel positions at two publicly-traded technology companies. Wornow served as Executive Vice President - Legal and Business Affairs for interactive television company, OpenTV Corp., where he oversaw worldwide legal, commercial and licensing affairs, corporate development and the company's global intellectual property portfolio, helping establish licensing programs, managing standards participation and setting litigation strategies for the company. Wornow’s experience extends to corporate governance matters, Sarbanes Oxley compliance and planning, complex software revenue recognition issues, technology licensing, IP monetization programs and technology company restructurings.

Prior to OpenTV, Wornow served as General Counsel for OmniSky Corp., one of the country’s first wireless data providers, leading the company through its venture capital stages and subsequent initial public offering. He was later appointed by the company's Board as Chief Restructuring Officer, where he successfully led the company’s sale and restructuring. Wornow was also previously a partner in the New York office of Paul, Hastings, Janofsky & Walker LLP, where his practice involved corporate finance and securities transactions, mergers and acquisitions and the representation of emerging growth companies. Wornow represented issuers and underwriters in high-yield debt transactions and equity financings, Fortune 100 companies in mergers and acquisitions, and various telecommunications and technology companies as outside general counsel. Wornow received law degrees from Harvard Law School and the University of Cambridge, England. He received his bachelor's degree from the University of Virginia.
