Goodwin Procter recently advised UrbanCode Inc., a software development company, in its sale to International Business Machines Corporation (IBM). Terms of the transaction were not disclosed.
Based in Cleveland, Ohio, UrbanCode’s software automates the process of delivering applications and application updates directly from development shops to mobile phones, servers and other end devices. UrbanCode’s DevOps product offers an integrated suite of tools for building, deploying, provisioning and releasing software packages. The company was founded in 1996.
IBM (NYSE: IBM) is a global technology and innovation company headquartered in Armonk, N.Y. With 427,000 employees serving clients in 170 countries, it is the largest technology and consulting employer in the world. The company specializes in IT services, consulting, business analytics & optimization, CRM, ERP, security, software, strategy, storage, disaster recovery and enterprise architecture, among other things. IBM was behind the inventions of the PC, SABRE travel reservation system and UPC codes.
The deal team for this transaction was led by John Egan and included Janet Andolina (Tax), Rich Matheny (FCPA / Exports), Jeff Klein (Intellectual Property), and Jacqueline Klosek (Privacy).
