Eduardo Aleman is counsel in the firm’s Business Law Department, and a member of the Technology group as well as the Capital Markets and Public Company Advisory practices. Mr. Aleman advises public companies on securities regulation, disclosure under the federal securities laws, policy, corporate governance, ESG, and capital markets transactional matters. Before joining the firm, he served at the Securities and Exchange Commission for 18 years during which he was immersed in agency matters while serving in various senior leadership roles, including as Deputy Secretary and counsel to an SEC Commissioner.
Mr. Aleman’s admission to the Washington, DC bar is pending; he is working under the supervision of the partners at Goodwin.
While at the SEC, Mr. Aleman acted as an advisor to senior SEC leadership on agency practice and regulations. As Deputy Secretary, he advised SEC staff and external parties on the application of the SEC’s Rules of Practice in administrative enforcement proceedings. Mr. Aleman advised senior SEC staff on matters of administrative law under the Administrative Procedure Act. He reviewed staff recommendations to the Commission from each of the SEC’s operating divisions and offices, Commission orders and notices, and SRO rulemaking proposals. Mr. Aleman oversaw administrative proceedings, including appeals of SRO and FINRA determinations, and led the SEC’s initiative to permit electronic filings in administrative proceedings (eFAP).
As counsel to an SEC Commissioner, Mr. Aleman acted as a liaison to the Commission’s senior staff as well as external stakeholders such as issuers, SEC registrants, investors, industry groups and trade associations. He advised the Commissioner on a broad array of legal, policy and regulatory matters under the federal securities laws focusing on the Division of Corporation Finance and the Division of Enforcement.
During his tenure as Special Counsel in the Division of Corporation Finance, Mr. Aleman was the lead attorney responsible for implementing and drafting numerous SEC proposed and final rules pertaining to corporate disclosures under the federal securities laws. As the lead attorney, Mr. Aleman engaged with senior SEC leadership, and met with external industry groups, investors and other stakeholders on each rulemaking. Among other rulemaking initiatives, he drafted rule releases implementing provisions in the Jumpstart Our Business Startups (JOBS) Act, and the Dodd-Frank Wall Street Reform and Consumer Protection Act, including rules relating to Regulation Crowdfunding, proxy access, and pay versus performance.
Mr. Aleman also served as an attorney in the Division of Corporation Finance’s Disclosure Review Program where he advised on a wide variety of transactional and securities compliance matters. His experience at the SEC includes making determinations on staff level of review of filings under the Securities Act and the Exchange Act, reviewing registration statements relating to IPOs, SPACs, secondary offerings, and business combinations.
Mr. Aleman served on the Office of Chief Counsel’s Rule 14a-8 Shareholder Proposal Task Force for three seasons as a reviewer and an examiner, where he evaluated no-action requests by companies to exclude shareholder proposals from proxy statements.
Before joining Goodwin, Mr. Aleman served at the Securities and Exchange Commission for 18 years, where he held several senior leadership roles, including Deputy Secretary and Assistant Secretary in the Office of the Secretary. Prior to his tenure as Deputy Secretary, Mr. Aleman also served as Counsel to an SEC Commissioner, and was Special Counsel in the Division of Corporation Finance’s Office of Rulemaking.
