Will Goldberg is a partner in the firm’s Real Estate Industry group, where he is a member of the REITs and Real Estate M&A, Capital Markets, and Public Companies practices. He focuses primarily on corporate and securities matters, including public and private offerings of securities, securities law and corporate governance matters for public companies, executive compensation, and other matters of general corporate law.

Experience

Will has served as ongoing corporate and securities counsel for public and private companies, primarily REITs and life sciences companies. His experience in corporate finance includes representing issuers and underwriters in transactions such as IPOs, follow-on and shelf offerings and 144A offerings of equity and debt securities totaling in excess of $10 billion. Will also has expertise in counseling public REITs on executive compensation matters, including in connection with new or revised executive employment agreements and compensation plans for public UPREITs utilizing LTIP units.

Will’s transactional experience includes:

  • Invitation Homes Inc. (NYSE: INVH)
    • Representation of the underwriting syndicate in a $1.8 billion initial public offering, the second largest REIT IPO in history; underwriters in connection with over $3.0 billion of secondary offerings by selling stockholders; and 15 sales agents in connection with the establishment of an $800 million continuous at-the-market equity offering program

       

  • Alnylam Pharmaceuticals, Inc. (Nasdaq: ALNY)
    • Three public follow-on offerings totaling $2.5 billion in proceeds and the completion of a $700 million equity financing in connection with a strategic collaboration

       

  • DCT Industrial Trust Inc. (formerly NYSE: DCT)
    • The registered offering of $325 million of senior notes; follow-on equity offerings of common stock aggregating $215 million; establishment of two continuous at-the-market equity offering programs for the offering and sale of up to 25 million shares; and representation in connection with the company’s $8.4 billion sale to Prologis

       

  • Easterly Government Properties, Inc. (NYSE: DEA)
    • The registered offering of approximately $400 million of shares of common stock, including a forward equity component, and representation in connection with two at-the-market equity offering programs for the offering and sale of up to $300 million of shares of common stock

       

  • STAG Industrial, Inc. (NYSE: STAG)
    • Represented the underwriters or sales agents in connection with public follow-on offerings of common stock and establishment and maintenance of six at-the-market equity offering programs for the offering sale of over $1 billion of shares of common stock

       

  • Washington Real Estate Investment Trust (NYSE: WRE)
    • Representation of the underwriters or sales agents in connection with a common stock follow-on offering of $130 million of shares of common stock and two at-the-market equity offering programs for the offering and sale of up to $450 million of shares of common stock

While attending law school, Will was an editor for the Boston University Law Review and a legal intern in the Elder, Health and Disability Unit of Greater Boston Legal Services.
