Ms. Gruca’s representation of companies spans the entire corporate life cycle, including formation matters, general corporate representation and counseling, venture capital financings, mergers and acquisitions, public offerings, and SEC reporting and compliance. Ms. Gruca also represents venture capital firms in private stock offerings and investment banks in public offerings.
Ms. Gruca maintains an active pro bono practice, representing clients in matters related to immigration and Silicon Valley homelessness.
Ms. Gruca is a member of the Bar Association of San Francisco.
Prior to joining the firm’s Business Law Department in 2019, Ms. Gruca was an associate in the firm’s Securities, White Collar Defense & Business Litigation group, where her practice focused on white collar criminal defense, government civil and regulatory actions, internal investigations, and complex commercial and financial litigation. Ms. Gruca also advised digital currency and blockchain companies in token sales and in responding to government inquiries.
Prior to joining Goodwin, Ms. Gruca served as a judicial extern to the Honorable Ronald S.W. Lew of the U.S. District Court for the Central District of California.
