Matthew Gruenberg is a partner in Goodwin’s Private Equity group. He focuses his practice in the areas of mergers and acquisitions, buyouts, restructurings, control and non-control equity investments, venture capital, growth equity and complex corporate transactions. Mr. Gruenberg has extensive experience in both domestic and cross-border transactions across a range of industries, including government contracting, technology, financial services, healthcare, manufacturing and consumer retail. He represents private equity sponsors and their portfolio companies throughout the lifecycle of their investments, from acquisitions to management and operations through to sales, divestitures, public offerings and other liquidity events. Mr. Gruenberg also advises public and private companies with respect to ongoing corporate matters related to structuring, governance, shareholder and co-investor relations, equity financings and other commercial arrangements.

  • Represented a major private equity firm and its portfolio company, a government contractor and service provider, in the $400 million add-on acquisition of a privately-held supplier of hardware and software to various governmental agencies*
  • Represented a NASDAQ-listed company in the acquisition of a $250 million portfolio of minority equity investments in publicly traded and privately held U.S. and European biotechnology and life science companies*
  • Represented a major private equity firm and its portfolio company in the $1.6 billion initial public offering of common stock*
  • Represented a major private equity firm in the $5.7 billion sale of an auto financing and lending company*
  • Represented a major private equity firm in the $330 million auction process and sale of a plastic packaging manufacturer*
  • Represented a privately held consumer retailer in multiple add-on acquisitions, including purchases of assets out of bankruptcy via “stalking-horse” auctions*
  • Represented a hedge fund in the secondary sale of equity interests in over 20 hedge funds and private equity funds*

Professional Experience

Prior to joining Goodwin, Mr. Gruenberg practiced in the M&A and Securities department in the New York office of Schulte Roth & Zabel LLP. Before attending law school, Mr. Gruenberg was an Economist for the United States Bureau of Economic Analysis in Washington, DC.


Mr. Gruenberg has been listed in New York Super Lawyers as a “Rising Star” for Mergers & Acquisitions for 2019 and 2020.
