Benjamin Halper

Benjamin Halper is an associate in Goodwin’s Complex Litigation & Dispute Resolution group where he handles complex commercial matters and also maintains an active practice handling white collar criminal defense and investigation matters. As a member of the Private Investment Litigation group, Ben’s practice focuses on representing Goodwin’s private investment clients and their portfolio companies in a wide range of disputes, including complex commercial litigation, post-closing disputes, earnout disputes, partnership disputes, acquisition disputes, and other business torts.  Ben also has experience representing clients in corporate governance matters, shareholder rights disputes, and restrictive covenant disputes. Ben has particularized experience litigating in the state and federal courts of Delaware, New York, and Massachusetts.

Ben also recently served as a special assistant district attorney for the Kings County District Attorney’s Office.

Ben’s recent matters include representing and/or counseling:

• A healthcare private equity firm in an equity compensation and age discrimination dispute.
• A specialized investment firm in an equity compensation dispute.
• A prominent real estate investment trust in a post-closing earnout dispute.
• A venture capital fund in a breach of contract commercial dispute, which resulted in a full arbitration victory.
• A C-suite executive in an employment mobility dispute, which resulted in a favorable settlement.
• A healthcare private equity and venture capital firm in a post-closing earnout dispute, which resulted in a favorable settlement.
• A pharmaceutical CDMO in a breach of contract dispute, which resulted in a favorable settlement.
• A payment technology company in a breach of contract and fraud dispute, which resulted in a full arbitration victory.
• An asset manager in a breach of contract and tortious interference commercial dispute, which resulted in a full arbitration victory.

Prior to attending Boston University School of Law in 2017, Ben worked at J.P. Asset Management in New York.

Ben was recognized as One to Watch by The Best Lawyers in America 2026 and 2027 for his work in Commercial Litigation.

Ben is a member of Goodwin’s Private Company Delaware Law Committee. He is also an editor for the committee’s monthly newsletter, which highlights and summarizes important Delaware news from across the industry.
