Marianne Kurlandski is an associate in Goodwin’s Private Equity group. Her practice focuses on the full life cycle of private equity transactions including venture capital and growth equity financing, mergers and acquisitions, leveraged buyouts and divestitures. Ms. Kurlandski’s practice includes representing private equity sponsors and their portfolio companies on secondary transactions, equity syndications, co-investments, equity incentive arrangements and general corporate matters. In addition, Ms. Kurlandski regularly counsels clients on sensitive matters (fiduciary duties, executive compensation, dividend recapitalizations, adversarial matters etc.) and transformational corporate events. Ms. Kurlandski joins Goodwin with extensive experience working with distressed companies and on restructuring matters.

  • A&M Capital Opportunities in its buyout of Crash Champions, and Crash Champions in several subsequent add-ons growing the company from 16 locations to over 60.
  • A&M Capital Opportunities in its buyout of a car wash chain with locations throughout the Southeastern United States.
  • Centerbridge Partners in its take-private acquisition of Civitas, Inc. (The Mentor Network) for a purchase price of $641 million representing $17.75 per share.
  • DST Global in its Series E investment in Faire raising over $170 million for the company. 
  • Frazier Healthcare Partners in its acquisition of Comprehensive Pharmacy Services, the nation’s largest provider of specialty pharmacy services.
  • Lead Edge Capital in several of its global investments including Armory, Arrive Logistics, Copado, and Lean Staffing Solutions.
  • OpenView Venture Partners in several of its seed and venture investments including, $10.5 million Series A financing of GitPrime, $35 million Series B financing of project44, and $13 million Series C financing of Auvik Networks.
  • Pamplona Capital Management in its leveraged buyout of Latham Pool Products.
  • Sage Data Security in its sale to Tyler Technologies. 
  • TA Associates in its strategic investment in Financial Information Technologies.
  • Webster Equity Partners in its formation of Retina Consultants of America, and acquisition of Vitreous Retinal Consultants.
  • Capmark Financial Group Inc. in restructuring its low-income housing tax credit funds with several institutional counterparties, settling over $1 billion in exposure.*
  • Capmark Financial Group Inc. in the sale of its low-income housing tax credit asset loan portfolio to the Hunt Companies, Inc., in a Section 363 bankruptcy auction.*
  • Southern Sky of Rhode Island in debt financing, development and sale of utility-scale solar energy projects in New England.*

Professional Activities

Ms. Kurlandski is a member of the New York Bar Association and the American Bar Association.

While in law school, Ms. Kurlandski served as Case Comments Editor for the New York Law School Law Review. Throughout law school she was also a member of the John Marshal Harlan Scholarship program, an academic scholarship.
Professional Experience

Prior to joining Goodwin, Ms. Kurlandski was an associate at Dewey & LeBoeuf and DLA Piper in their respective corporate practice groups. She spent several years working in the not-for-profit sector before returning to full time legal practice with Goodwin.
