Bryce McCullagh is an associate in Goodwin’s Technology and Life Sciences practices in London. Mr. McCullagh advises clients on a broad range of corporate matters, with a focus on transactions in the life sciences, healthcare and technology sectors. He has particular experience advising on private equity and venture capital investments/exits, mergers and acquisitions, corporate finance, and reorganisations, as well as general corporate matters.

  • A private equity real estate fund on its c. £1bn acquisition of four central London hotels.*
  • A UK listed textiles company on its acquisition of a Spanish manufacturer of ceramic and porcelain tiles, for a total consideration of £86.2m which was satisfied in part through a vendor placing and firm placing, alongside a refinancing of the company’s existing €445m banking facilities.*
  • A global healthcare and life sciences company that sources, finances and develops both start-up and later stage companies across the healthcare and life sciences sectors on its initial public offering and admission to trading on the standard segment of the Main Market of the London Stock Exchange which raised total gross proceeds of £100m in its oversubscribed initial public offering.*
  • A UK listed textiles company on its acquisition of a substantial European manufacturer of branded floor and wall ceramic tiles for a total consideration of €274.1m which was satisfied in part through a vendor placing and firm placing, alongside a refinancing of the company’s existing banking facilities.*
  • A private equity real estate fund on its purchase of a lifestyle hostel portfolio for £450m and the subsequent refinancing of the group’s existing banking facilities.*
  • A specialised European healthcare investor, as lead investor, on multiple financing rounds into a UK digital healthcare company.*
  • A UK impact investment fund on multiple investments including:*
    • a Filipino EdTech company that provides an online platform that helps students to discover the right course and scholarships.
    • a Portuguese company that provides an app-based healthcare platform which offers patients a holistic solution for their health through a combination of AI chatbots, video calls, face to face appointments at home and integration with hospitals.
  • A late clinical-stage pharmaceutical and medical device company, on its initial spinout from Imperial College London, subsequent rounds of private financing and issues relating to the cross-border nature of its operations.*
  • A UK aerospace engineering and technology company on its $30m investment from leading Asian venture capital firms.*
  • On the establishment of a €15m Irish joint venture whiskey company involving a UK listed drinks company. *
  • A UK listed research and development company on its £16 m private placing and open offer on AIM.*
  • On the acquisition of a specialised logistics company based in the UK, Asia and North America by a French multinational for £30m including the reinvestment by management in the entity post-completion.*
  • A UK tech company on its USD$25m investment from a leading Asian venture capital firm.*
  • A US multi-level marketing company on its disposal of its wholly-owned, UK based natural skincare brand to a US wholesale and distribution company for £140m.*
  • Clients on the purchase of the Media Village site from the BBC for £87m.*
