Janie Yoo Miller is an associate in the firm’s Securities Litigation & White Collar Defense group, working primarily with technology companies. Her practice encompasses a broad range of complex business litigation, including legal disputes among investors, founders, and management in the context of corporate governance, fiduciary duties, employee mobility, and mergers. Ms. Miller represents companies, boards, special committees, and individuals in connection with shareholder actions, internal corporate investigations, and civil and criminal government investigations. In addition to litigation and investigative work, Ms. Miller assists in counseling clients on business transactions and pre-litigation disputes in order to minimize liability. Ms. Miller maintains an active pro bono practice with a focus on criminal defense and immigration matters.

Ms. Miller has represented clients in legal investigations and suits brought in state and federal courts throughout the country involving allegations of fraud, breach of contract, breach of fiduciary duty and other violations of state and federal law. Ms. Miller’s representative matters include:

  • Successfully defending former executives of a technology company from allegations of fraud and embezzlement
  • Reaching successful resolution in representation of a recently-acquired public entity and its board of directors in shareholder-employee dispute after the summary judgment stage
  • Defending a former employee of a public technology company in connection with the founding of a new startup company later acquired by a competing technology company
  • Conducting internal corporate investigation on behalf of the audit committee of a public company in connection with SEC and DOJ investigations
  • Representing individual and institutional investors in media company asserting claims of fraud on the part of company founders
  • Representing shareholder representatives in post-merger dispute related to the achievement of payout milestones
  • Representing a blockchain technology company and founders in connection with dispute over equity
  • Obtaining asylum status for family of five immigrants from Mexico fleeing cartel violence
  • Defending a client under a Criminal Justice Act appointment in relation to the constitutionality of sentencing in mail fraud case
