William Burnet Pearce

Will Pearce structures and negotiates a wide variety of debt-finance transactions as a partner in Goodwin’s Private Equity group and a member of its Debt Finance and Search Funds practices. Mr. Pearce has a wide range of clients, including numerous private equity sponsors, search funds, venture capital investors, as well as public, private and portfolio companies in connection with the structuring and negotiation of secured and unsecured domestic and cross-border debt financing transactions, including senior, mezzanine and subordinated debt facilities, acquisition-financing transactions, working capital facilities, and loan workouts and restructurings.

Mr. Pearce’s extensive experience as a member of Goodwin’s Private Equity group and Search Funds practice has allowed him to advise clients on nearly all aspects of their multi-million to billion dollar financing needs, including:

• A multitude of private equity sponsors in connection with acquisitions, capitalization and management of numerous portfolio companies
• Dozens of search funds in connection with leveraged buyouts and related financing transactions
• Numerous venture-backed companies in connection with both debt and debt/equity hybrid investments
• Publicly-traded pharmaceutical companies in connection with financing arrangements in connection with product launches

Prior to joining Goodwin, Mr. Pearce was an associate at multinational law firms in New York, London and San Francisco.

While attending law school, Mr. Pearce was Editor-in-Chief of the Emory International Law Review and was nominated to Who’s Who among Students in American Colleges and Universities.
