Winnie Uluocha is an associate in Goodwin’s Life Sciences group and Healthcare practice. She advises all segments of the healthcare industry, including hospitals, health systems, pharmacies, private equity investors and their platform companies, investors, biotechnology and pharmaceutical companies, and other healthcare clients. In transactional matters, such as strategic mergers, acquisitions, affiliations, and joint ventures, Ms. Uluocha assists in due diligence, drafting and reviewing agreements, analyzing and researching regulatory issues, forming and restructuring corporate entities, and advising on the same. She also provides statutory and regulatory compliance counseling to health systems, academic medical centers, hospitals, and a variety of healthcare entities in emerging areas such as digital health, telehealth, and data privacy and security matters.

Ms. Uluocha is admitted to practice in Illinois only; her application to the D.C. bar is pending. Her practice is supervised by D.C.-admitted lawyers at Goodwin.





Ms. Uluocha has worked on a range of matters including advising:

  • Aldrich Capital Partners in its acquisition of Compliancy Group, a provider of a compliance-tracking solution that primarily tracks HIPAA compliance, serving the small to mid-size healthcare market 
  • Trillium Therapeutics, a clinical stage immuno-oncology company developing innovative therapies for the treatment of cancer, in its acquisition by Pfizer Inc. for approximately $2.3 billion. 
  • Ampersand Capital Partners in its acquisition of Alliance Pharma Inc., which operates a Contract Research Organization (“CRO”) specializing in Drug Metabolism and Pharmacokinetics (“DMPK”) and bioanalytical services for both small and large molecules. 
  • Great Hill Partners in its acquisition of a controlling equity stake in Clearwave Parent, Inc., a premier patient intake and engagement software provider for the healthcare industry
  • Aerpio Pharmaceuticals, Inc. on its all-stock transaction with Aadi Bioscience, Inc., a biopharmaceutical company focusing on precision therapies for genetically-defined cancers with alterations in mTOR pathway genes. 
  • Medical Properties Trust, Inc. on the completion of its acquisition of Springstone Holdings, Inc., a leading provider of behavioral health services in the United States distinguished by its purpose-built, inpatient facilities in carefully selected markets across the full behavioral care acuity spectrum. 
  • Advised Nuvalent, Inc., a preclinical stage biopharmaceutical company focused on creating precisely targeted therapies for patients with cancer, on their $190.6 million initial public offering. 
  • Cerevel Therapeutics, a clinical-stage biopharmaceutical company dedicated to unraveling the mysteries of the brain to treat neuroscience diseases, in its $350 million initial public offering. 
  • Cano Health in its of acquisition of Doctor’s Medical Center, a provider of primary care and multi-specialty healthcare services. 
  • Level Equity Growth Partners IV, L.P. in its Series B financing of Sunwave Health, an SaaS company providing a comprehensive platform for behavioral health providers. 
  • A private equity fund in its acquisition of a dental practice management company, and its dental service affiliates.
  • An academic medical center in its affiliation with a national health system.
  • A leading publicly traded provider of inpatient and outpatient substance abuse treatment services in their financial restructuring, which included providing legal support and advice through state regulatory filings and key transactional matters in multiple states.
  • A private equity fund in its acquisition of a comprehensive outpatient mental health treatment and transcranial magnetic stimulation services provider.
  • A health records system provider, specializing in orthopedic practices, in a healthcare information technology merger with an electronic health records software company.
  • A 503B outsourcing facility and sterile compounding pharmacy in the sale of its membership interest and assisting them with required regulatory filings in multiple states.
  • A private equity fund in its acquisition of a behavioral health company that provides applied behavior analysis and autism services.
  • A single-specialty management services organization that supports OB-GYN practices with physician management and payor contracting services in acquisitions of over 100 OB-GYN private practices throughout the country.
  • A non-traditional healthcare provider on complying with Section 1557.
  • Healthcare providers on advertising and marketing requirements in various states.
  • Healthcare startups, non-profit organizations, and healthcare providers on data, HIPAA, privacy, and security compliance, policies, and procedures.
  • Pharmacy, durable medical equipment, wholesalers, and drug distributer providers on state licensing ownership changes and compliance with state and local pharmacy and drug distribution laws and regulations.
Professional Experience
Prior to joining Goodwin, Ms. Uluocha was an associate at McDermott Will & Emery. While pursuing her Master of Health Administration, Ms. Uluocha worked as a graduate research assistant at the Rural Policy Research Institute (RUPRI), where she helped analyze and respond to proposed rules from the Centers for Medicare and Medicaid Services, the Department of Health and Human Services, and other federal and state regulatory agencies on rural health-specific issues. In addition, Ms. Uluocha served as a health administrative intern for the Chief Operating Officer at a nationally ranked academic medical center.
Professional Activities
Aside from her commitment to high standards in her work on behalf of firm clients, Ms. Uluocha is engaged in meaningful community service. Ms. Uluocha is an Associate Board Member for the Diverse Attorney Pipeline Program (DAPP), which assists women of color law students in professional development, academic coaching, mentorship, and obtaining summer employment positions. Ms. Uluocha is also the Health Law Committee Vice Chair for the Chicago Bar Association, as well as a member of the American Health Lawyers Association, Illinois Association of Healthcare Attorneys, Chicago Bar Association, and the Cook County Bar Association.
