5 Areas SEC 'Finders' Proposal Needs More Clarity (Law360)

On October 7, the SEC voted 3-2 to propose a conditional exemption, in the form of an exemptive order, to permit natural persons to engage in limited securities activities as finders on behalf of private issuers without registering as brokers under Section 15 of the Securities Exchange Act. However, in its current form, the proposed exemption raises new questions and concerns, including several that Goodwin’s Financial Industry group member Peter LaVigne address.
