Crowdfunding, Reg A Deals Grow Slowly as SEC Weighs Ideas (Law360)

Equity crowdfunding and expanded Regulation A offerings have grown slowly since going live over the past decade. "I expect this new administration, including the new chairman of the SEC, to focus on this area and try to make improvements," Goodwin partner Dave Roberts said to Law360. He said that higher offering limits could invite more companies to consider Reg A, noting that the existing $75 million limit often pushes clients toward other options. By comparison, the SEC's Regulation D is the most popular exemption given it allows companies to raise unlimited funds with little disclosure on the condition that such offerings are almost entirely limited to accredited investors. "It would increase the pool of companies that are interested," Roberts said. "When we have conversations with folks that are thinking about different types of capital-raising approaches — Reg D or Reg A — the $75 million cap is usually what scares them off."
