Goodwin Represents the Initial Purchasers on WhiteFiber’s Upsized $310 Million 5.00% Convertible Senior Notes Offering

Goodwin’s Capital Markets team represented the initial purchasers on WhiteFiber’s Rule 144A offering of $310 million aggregate principal amount of 5.00% Convertible Senior Notes due 2032. The offering was increased from the initially announced $250 million and included the full exercise of the initial purchasers’ option to purchase $40 million of additional notes. Goodwin also assisted with WhiteFiber’s concurrent privately negotiated exchange of $198.15 million aggregate principal amount of its existing 4.50% Convertible Senior Notes due 2031 for approximately $118.5 million in cash, including accrued and unpaid interest, and approximately 6.3 million ordinary shares.
