Jonathan Burr

Jon Burr is a counsel in Goodwin’s Public Company Advisory and Capital Markets practices. Jon previously served as an attorney-adviser in the Division of Corporation Finance at the U.S. Securities and Exchange Commission (SEC). While at the SEC, Jon gained extensive experience reviewing a variety of SEC filings under the Securities Act of 1933 and the Securities Exchange Act of 1934 filed by companies in numerous industries. Jon also served on the Office of the Chief Counsel’s Rule 14a-8 Shareholder Proposals Taskforce.

Since transitioning to private practice in 2021, Jon draws on his experience from the SEC to advise companies, boards of directors, and underwriters on regulatory matters, public company reporting, capital markets transactions, and corporate governance. He counsels public companies on a full range of issues, including compliance with the reporting obligations under the U.S. federal securities laws, initial public offerings, follow-on offerings, corporate governance issues and best practices, and compliance with NYSE and Nasdaq requirements

Jon leverages his experience from serving as an attorney-adviser in the Division of Corporation Finance at the SEC to advise on a full range of SEC reporting and compliance requirements, corporate governance issues, NYSE and Nasdaq compliance issues and capital markets transactions, including initial public offerings, mergers and acquisitions, and going-private transactions. Jon’s representative experience includes:

• Represented a technology company in connection with its $5.22 billion initial public offering.*
• Represented a multinational investment holding company in connection with its $375 million acquisition of a technology company.*
• Represented a life sciences company in connection with its $160 million PIPE transaction.*
• Represented a life sciences company in connection with its $200 million common stock offering.*
• Represented a special purpose acquisition company in connection with its business combination with a satellite company.*
