Goodwin Advises High Liner Foods on Agreement to Be Acquired by Umios in All-Cash Transaction
The Public M&A team advised High Liner Foods Incorporated (TSX: HLF), a leading North American processor and marketer of value-added frozen seafood, on its definitive arrangement agreement to be acquired by Umios, one of the world’s largest seafood and marine-protein companies, in an all-cash transaction. Under the terms of the agreement, a newly formed, wholly owned subsidiary of Umios will acquire all of High Liner Foods’ issued and outstanding common shares for C$27.00 per share in cash through a court-approved plan of arrangement under the Companies Act (Nova Scotia). The transaction, which was unanimously approved by High Liner Foods’ Board of Directors following the unanimous recommendation of a Special Committee of independent directors, is expected to close in the first quarter of 2027, subject to shareholder, court, and regulatory approvals and other customary closing conditions.
