Andrew W. Daniels

Andrew Daniels is an associate in Goodwin’s Private Equity group. His practice is principally focused on representing private equity sponsors and their portfolio companies in complex domestic and cross-border business transactions, including mergers, acquisitions, divestitures, carve-outs, leveraged buyouts, equity restructurings and growth equity and venture capital investments, as well as related general corporate counseling. Andrew has worked on transactions in a variety of industries, including technology and software, fintech, digital assets, renewables and clean energy, health care, and business services.

Prior to joining Goodwin, Andrew was an M&A/PE associate at Kirkland & Ellis LLP.

Andrew’s experience includes the representation of:

• Thoma Bravo in its investment in HubSync, a premier all-in-one tax and accounting platform automating CPA firms
• Landmark Bio, PBLLC (a joint venture among Harvard University, Massachusetts Institute of Technology, Fujifilm Diosynth Biotechnologies, Cytiva, and Alexandria Real Estate Equities) in its sale to Oak HC/FT
• DST Global in its investment in Safe Superintelligence, the AI start-up co-founded by former Open AI chief Scientist Ilya Sutskever
• Gryphon Investors in its sale of Potter Electric Signal Company to KKR*
• Power & Digital Infrastructure Acquisition II Corp. (a special purpose acquisition company) in its business combination with Montana Technologies LLC, developer of AirJoule™, a transformational renewable energy and cooling technology*
• TPG Rise Climate as lead investor in a $250 million Series C financing round for Ohmium International, a leading green hydrogen company that designs, manufactures, and deploys advanced proton exchange membrane (PEM) electrolyzer systems*
