Keith Kessinger is an associate in the firm’s Private Equity group and Asset Management Transactions and Fintech practices. Keith advises clients on a broad array of transactional, governance, securities and regulatory matters across a variety of industries. He has particular expertise in the asset management industry, where he represents fund sponsors and their portfolio companies, management teams, investment banks, wealth managers as well as family offices and high net worth investors. Keith has advised on mergers and acquisitions, lift-out transactions, joint ventures, restructurings, minority investments, capital raises and IP and technology transfers and licensing.

  • NEPC, a global investment consultant, private wealth advisor and outsourced chief investment officer (OCIO) with more than $1.66 trillion in total assets, in its pending sale of a majority stake to Hightower
  • F1 Holdings Corp. and an investor group led by Gallatin Point Capital LLC on a definitive agreement to sell F1 Holdings Corp. to Stellantis N.V. in an all cash transaction for approximately $285 million 
  • First Eagle Investment Management, LLC in connection with:
    • the acquisition of THL Credit Advisors, LLC
    • the acquisition of Napier Park Global Capital, LP
  • Virtus Investment Partners, Inc. in connection with:
    • the acquisition of Stone Harbor Investment Partners LP
  • State Street Bank & Trust Company in transactions and joint ventures
  • DDJ Capital Management in connection with its sale to Polen Capital Management
  • Kennedy Capital Management, Inc. in connection with a minority investment by Azimut Group
  • Represented a prominent institutional investor in a connection with multiple early-stage investments in fintech companies focused on blockchain, cryptocurrencies and financial analytics tools

Professional Experience

Prior to practicing law, Keith was a reporter and editor of an online IT publication. In addition, he was an editor of the Journal of Law & Social Justice at Boston College Law School.
