Keith Kessinger

Keith Kessinger is a partner in the firm’s Business Law department and a member of its Private Equity and Investment Funds & Capital groups. He advises clients on a broad range of corporate, transactional, governance, securities, and regulatory matters.

Keith has particular expertise in the asset and wealth management industries, where he represents asset managers, wealth managers, and other financial services firms, management teams, strategic partners, private equity and other financial investors, and other industry participants.

His transactional experience includes mergers and acquisitions, joint ventures, minority investments, capital raises, venture financings, restructurings, and lift-out transactions. He combines this transactional experience with a detailed understanding of investment management businesses, including their ownership, governance, and incentive structures, investment strategies, products, and regulatory frameworks.

Keith’s practice extends to other industries, including healthcare, technology, manufacturing, retail, and professional services.

  • the acquisition of a majority stake in Keystone National Group LLC, a private credit manager focused on asset-backed credit, including equipment finance, specialty real estate lending, consumer finance, and corporate lending
  • the acquisition of a minority stake in Crescent Cove Advisors, LP, an investment manager that offers structured capital solutions to middle-market technology companies in the defense tech, autonomous driving, artificial intelligence, and fintech subsectors
  • the acquisition of Stone Harbor Investment Partners LP, a global institutional fixed-income investment manager specializing in credit and asset-allocation strategies
  • the acquisition of Westchester Capital Management LLC, an investment manager that focuses on global event-driven investment strategies
• Healthcare Outcomes Performance Company (HOPCo), the nation’s largest musculoskeletal value-based care and orthopedic practice management organization, in connection with multiple strategic acquisitions
• Tsoi Kobus Design, a prominent Boston-based architecture, planning, and interior design firm specializing in healthcare, science and technology and commercial real estate, in its sale to DLR Group
• NEPC, a global investment consultant, private wealth advisor, and outsourced chief investment officer (OCIO) with more than $1.66 trillion in total assets, in its sale of a majority stake to Hightower
• FCP Fund Manager, LP, an investment manager that operates in the US multifamily asset classes and has collectively invested in, operated, and financed more than $14.6 billion in gross asset value since its inception, in its sale of a majority stake to Federated Hermes, Inc.
• First Eagle Investment Management, LLC in connection with:
  • the acquisition of THL Credit Advisors, LLC, an alternative credit manager that specializes in tradable credit and direct lending to middle-market companies
  • the acquisition of Napier Park Global Capital, LP, an alternative credit manager with a focus on credit funds, CLOs, and real assets predominantly within the US and European markets
• F1 Holdings Corp. and an investor group led by Gallatin Point Capital LLC in the sale of F1 Holdings Corp. to Stellantis N.V. in an all-cash transaction for approximately $285 million 
• State Street Bank & Trust Company in transactions and joint ventures
• DDJ Capital Management, a boutique high-yield, bank loan, private credit, and special situations manager, in connection with its sale to Polen Capital Management
• Kennedy Capital Management, Inc., an independent asset manager specializing in small- and mid-cap US equities, in connection with a minority investment by Azimut Group
• Represented a prominent institutional investor in a connection with multiple early-stage investments in fintech companies focused on blockchain, cryptocurrencies, and financial-analytics tools

Prior to practicing law, Keith was a reporter and editor of an online IT publication. In addition, he was an editor of the Journal of Law & Social Justice at Boston College Law School.
