Greg Matisoff is an associate in Goodwin’s ERISA & Executive Compensation practice. Greg focuses on advising private and public companies, as well as private equity sponsors, on executive compensation and employee benefits matters that arise in connection with mergers and acquisitions, corporate transactions, reorganizations, restructurings, and financing arrangements.
Experience
Greg regularly advises clients with respect to the following:
- Drafting and negotiating employment, deferred compensation, incentive, retention, severance, and change of control arrangements;
- Designing and drafting profits interest, stock option, phantom stock, and other equity and equity-based arrangements; and
- The tax implications of Internal Revenue Code Sections 83, 280G (the golden parachute rules), and 409A (the deferred compensation rules) on compensation and benefit arrangements.
Greg also has experience with tax-qualified retirement plans, including defined benefit pension and section 401(k) plans, and he has represented clients before the Internal Revenue Service (IRS), Department of Labor (DOL), and Pension Benefit Guaranty Corporation (PBGC) in retirement plan qualification, correction, and other matters.
