Brian McNeil is a partner in the firm’s Business Law Department and a member of its Private Equity group.

Brian’s practice focuses primarily on advising private equity sponsors, their portfolio companies and other private companies. He regularly advises clients on domestic and cross-border acquisitions and divestitures, leveraged buyouts, recapitalizations, minority and growth equity investments and general corporate matters across a broad range of industries, including technology and software, consumer, financial services, healthcare, education and business services. He frequently serves as outside general counsel to growth- and late-stage private companies. Brian is also a member of the hiring committee for the firm’s Boston office.

Brian’s recent transaction experience includes representing:

  • JMI Equity, its affiliated investment funds and its portfolio companies, including in connection with investments in EdSights, GiveCampus, SimpliGov, Vantaca, and ServiceTrade, add-on acquisitions for OnBoard, Apptegy, Vantaca and ServiceTrade and liquidity transactions with Vantaca and ButterflyMX.
  • TA Associates, its affiliated investment funds and its portfolio companies, including in connection with investments in Bluegrass Ingredients, Edmunds GovTech, Advantice and AffiniPay and liquidity transactions with Affinipay, Digicert and SWH.
  • Polaris Growth Fund, its affiliated investment funds and its portfolio companies, including in connection with investments in Amplifire, LCVista, Prolaera, Martin & Co, SETWorks and Three+One.
  • Equality Asset Management, its affiliated investment funds and its portfolio companies, including in connection with investments in Evention, Auctivo, Advanced GRC, Rhoads Online and Elation Systems.
  • Charlesbank Capital Partners, its affiliated investment funds and its portfolio companies, including in connection with investments in Membersy and Kleer, an add-on acquisition for Ensono and liquidity transactions with Trojan Battery Company and Oncore.
  • Sunstone Partners, its affiliated investment funds and its portfolio companies, including in connection with an investment in OSF, an add-on acquisition for NetSPI and liquidity transactions with NetSPI and ProgenyHealth.
  • Atlantic Vantage Point and its affiliated investment funds in connection with investments in Versa Networks and PayNearMe.

In addition, he has represented numerous companies in connection with venture financings, venture-backed and other private companies in connection with sale transactions and search funds in connection with acquisitions, equity financings and subsequent liquidity transactions.

Professional Activities

Brian was a summer associate at Goodwin in 2013.  While in law school, he was a senior editor for the Boston College Law Review.  Prior to law school, Brian taught mathematics and coached football in eastern North Carolina as a Teach for America corps member.
