John Mickles

John Mickles is an associate in the firm’s Business Law department and a member of its Private Equity group at Goodwin. He started at the firm in 2022. John concentrates his legal practice primarily on mergers and acquisitions, with an emphasis on representing private equity funds and their portfolio companies. He also represents public and private companies and their sponsors on transactions and other general corporate matters in a broad range of industries, including technology and software, manufacturing, healthcare information technology, energy, consumer products, food and beverage, life sciences, and financial services.

Some of John’s recent representative matters include:

• Represented Arlington Capital Partners in its acquisition of the Avian Vaccine Services business of Charles River Laboratories, a leading global provider of specific pathogen free eggs and adjacent laboratory products and services that support the development and manufacture of vaccines, therapeutics, and other biologics used for human and animal health
• Represented Guardian Capital Partners in connection with its acquisition of Precision Roll Solutions, a full-service provider of highly-engineered precision roll solutions and related process componentry utilized within a variety of manufacturing environments
• Represented LLR Partners in connection with its acquisition of Allmark Door Company, an installer and servicer of commercial doors and loading docks
• Represented ClassWallet, a leading digital wallet purchasing and reimbursement platform for public funds, in a significant minority growth investment from Guidepost Growth Equity
• Represented a publicly traded leading commercial real estate company in the sale of its business to a publicly traded, global leader in logistics real estate, valued at approximately $13 billion*
• Represented a publicly traded gasoline and petroleum refining company in its acquisition of a large chain of gas stations valued at approximately $1.8 billion*
• Represented a pioneer and category leader in premium payment cards and an emergent provider of cryptocurrency and digital asset storage and security solutions in its merger agreement with a special purpose acquisition company, valued at approximately $1.2 billion*
• Represented a sports apparel company in its acquisition of a brand merchandising company, offering a premier brand of authentic vintage jerseys and apparel collections for the MLB, NFL, NBA, NCAA and MLS, valued at $250 million*
• Represented a private equity-backed portfolio company in over a handful of add-on acquisitions, helping to grow the business until a successful exit transaction, valued at approximately $250 million*
• Represented a private equity-backed portfolio company in the sale of its business, an innovator in pet hard good products, dog and cat toys, chews, and treats, valued at approximately $250 million*

Prior to joining Goodwin, John spent time as an associate at Morgan, Lewis & Bockius LLP.

While in law school at Villanova University Charles Widger School of Law, John interned for a public Fortune 500 energy company. He also served as a student law counselor for the Clinic for Law and Entrepreneurship, where he advised an area non-profit organization and a social media company on organizational structure and general business matters.

In addition to his billable work, John:

• Participates in the Support Center for Child Advocates in Philadelphia
• Participates as a member of Philadelphia’s Association for Corporate Growth
• Teaches “Anatomy of a Business Transaction” at Villanova University Charles Widger School of Law, starting in Spring 2024
