Sabrina Rabinowitz is a counsel in the firm’s Business Law Department and a member of the Real Estate Industry group. Ms. Rabinowitz represents a wide range of real estate fund sponsors and other operators of commercial real estate on a variety of investment management matters, focusing on the formation of private investment funds, ongoing fund management, securities law compliance, securities offerings, and general corporate matters. Ms. Rabinowitz also participates in the firm’s Real Estate Capital Markets Group. She joined Goodwin in 2012.

While attending law school, Ms. Rabinowitz was a Notes Editor for the Columbia Business Law Review.

Ms. Rabinowitz is a member of the American Bar Association, as well as the New York State Bar Association.


Ms. Rabinowitz’s experience in the fund formation area includes establishing private investment funds through U.S. and international securities offerings, organizing fund manager and sponsor entities, advising fund managers and sponsors in establishing internal operating policies, representing fund sponsors in the preparation and negotiation of fund formation and investment documents, and restructuring the terms of existing investment funds. 

Ms. Rabinowitz’s  experience in the ongoing management and operation of private investment funds and fund managers includes developing and implementing Advisers Act and other securities law compliance programs.

Ms. Rabinowitz also advises a number of REITs on corporate governance and securities matters, and has represented these public companies in numerous common stock offerings and other capital markets transactions.
