Elie-Raphaël Soudry

Elie-Raphaël Soudry is a partner in the Luxembourg office of Goodwin and is part of Goodwin’s Private Equity Business Unit and a member of the firm’s Debt Finance practice. Elie-Raphaël advises clients on all types of debt financing transactions, with highly recognized expertise in fund finance, acquisition finance, real estate finance and transportation (aircraft, ship and rail). Elie-Raphaël also advises clients in securitization, and debt issuance transactions. Elie-Raphaël joined Goodwin in 2022.

Elie-Raphaël’s recent experience includes representation of:

• Medical Properties Trust on an upsized $2.7bn dual-tranche global offering of senior secured notes
• Clarion Partners Europe:
  • on a €240m NAV financing facility agreement with NatWest for one of Clarion Partners Europe’s co-mingled funds, which reports under Article 8 of the SFDR
  • on its acquisition of the recently developed Panattoni Logistics Park in Voerde, Germany, for approximately €75m, from Panattoni
  • on its acquisition of a portfolio of five prime logistics properties in Germany
• A consortium of investors comprising of TA Associates and Montagu Private Equity in connection with the financing of the acquisition of Harvest France SAS, the leading French provider of front-office wealth management software solutions for the wealth management industry
• A consortium of investors comprising PSG Equity, TA Associates, and Verdane in connection with the refinancing of the existing debt facilities of their portfolio company Hornetsecurity and the acquisition of Vade, a French leader in AI-powered email security
• Slate Asset Management in its agreement to acquire the grocery-anchored retail portfolio of x+bricks Group
• Tokoro Capital in the acquisition of an office building located 10 rue Henner in the 9th arrondissement of Paris
• Bridgepoint Credit and other senior lenders in connection with an amendment to the financing for Studienkreis (an IK Partners portfolio company) in conjunction with the sale by IK Partners of Studienkreis, the market leader in centre-based tutoring in the DACH region, to GoStudent
• The bondholders and lenders of a leading global biopharmaceutical developer and manufacturer in the context of corporate restructuring and business combination*
• HighBrook investors on three external financings obtained for several funds managed by the company*
• Various international credit institutions on the financing of the successful bid and long form financing by a large private equity firm for the acquisition of a majority stake in a nationally well-known shoe manufacturer*
• A large multi-national bank on a $3 billion financing package for a private investment firm to acquire a majority stake in a leading data, insights, and consulting company*
• A large multi-national bank on a $2.5 billion financing package for a private investment firm to acquire a majority stake in a defense and aerospace group*

Elie-Raphaël has over 10 years of experience in banking and finance in Luxembourg. Before joining Goodwin, Elie-Raphaël spent eight years at Lovens & Loeff in Luxembourg where he was counsel during two years, and prior to that was an associate in the Banking and Finance department at another leading Luxembourg law firm for approximatively three years.

Elie-Raphaël was a co-lecturer of the corporate law course in the Master in Management, Financial Economics track at EDHEC Business School in Nice (France).

He is an active member of Cluster Maritime where he has been involved in a comparative study of the competitiveness of the Luxembourg maritime sector leading to the drafting of a proposed bill of law.
