Technology Companies – Capital Markets

Location: Santa Monica, CA
Our dedicated team brings a comprehensive, coordinated approach that interconnects business, new technologies and the law. Our depth of experience in the private equity space along with our technology, healthcare and life sciences lawyers makes Goodwin uniquely suited to harness the breakneck pace of technology. We partner with clients to embrace the promise and potential of innovation to make a profound and lasting impact

For technology companies of all sizes, the pace and pressure can be relentless: create, innovate, revise, compete, survive, grow, thrive. As a leading technology company law firm, Goodwin shares our clients’ entrepreneurial spirit. We partner with them to grow their business and realize their potential more effectively – with a combination of legal experience and business savvy that can scale with management teams from the earliest stages of development through mature public company.

Goodwin seeks a highly qualified senior associate to join our Technology Company Practice with a focus on capital markets transactions and public company representation. Candidate should have 2-6+ years of experience working on registered equity offerings (IPOs and follow-on offerings), as well as some experience representing public companies in connection with their Exchange Act reporting obligations. Candidate should be generally familiar with SEC rules and forms, the underwriting process, comfort letters, opinions and other components of the offering process. Ideal candidate would have such experience in the context of both issuer-side and underwriter-side representation, although experience with both is not required. Candidate does not need to have a prior focus on technology, but prior representation of (or work with) emerging growth companies (EGCs) is a plus.

Candidates applying for attorney positions with Goodwin should have outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills. California bar admission (or eligibility to obtain admission promptly) preferred.
