Rebecca Wardle is a partner specialising in complex corporate disputes and fraud matters, with a practice spanning litigation, arbitration, and mediation, often involving cross-border elements. She advises private equity sponsors, investors, portfolio companies, financial institutions and growth businesses across the technology, life sciences, and financial services and fintech industries on high-value and strategically significant disputes.

Rebecca has particular expertise in shareholder, M&A, financing and post-closing disputes, including warranty and indemnity claims, earn-out disputes and unfair prejudice and derivative actions. She works closely with corporate teams to identify and mitigate litigation risk at the transaction stage and is regularly instructed on business-critical commercial contract disputes and enforcement strategies.

Rebecca’s practice also encompasses internal and external investigations, including matters involving UK, US and EU authorities. She previously completed a secondment to a global investment bank.

Rebecca is a member of the firm’s London Pro Bono Committee and leads the firm’s relationship with a local legal advice centre. She serves as co-head of the firm’s “First Gen” social mobility inclusion group.

Rebecca’s representative disputes and investigations experience includes:

  • Delivery Hero SE v Mastercard Asia/Pacific PTE Ltd – Instructed by the claimant Delivery Hero SE in High Court proceedings commenced against Mastercard in relation to a payment processing and marketing agreement and defended a counterclaim in relation to allegations of material breach. Obtained a summary judgment award of $40m on behalf of Delivery Hero. The proceedings settled shortly before the liability trial.
  • A sustainable green investment company – Advised on the resolution of a material dispute with a battery manufacturer following the administration of the main contractor.
  • CityFibre Limited v GCI Network Solutions Limited – Defending proceedings against GCI regarding the interpretation and application of the terms of a network access agreement relating to fibre network infrastructure and services.
  • A global cybersecurity business – Advised on a dispute in relation to alleged breaches of a shareholders’ agreement by the founders of a portfolio company, and a related put-option dispute.
  • 2150 Urban Tech Sustainability Fund I SCSp v Leko France SAS & Ors. – Obtained injunctive relief from the English court, preventing the removal of the fund’s nominated director from the board of a company.
  • Ashany & Ors. v Eco-Bat Technologies Limited* – Acted for the claimant directors in connection with the right to disclosure of company information, and successfully defended in the Court of Appeal an order overturning the default rule on discontinuance.

  • A global pharmaceutical company – Advising on a multimillion-pound indemnity claim following an acquisition and related patent disputes. 
  • A European biotech – In a dispute concerning a collaboration agreement for a new vaccine programme. 
  • A medical diagnostics company – In a potential dispute in connection with the supply of testing equipment.  
  • A healthcare fund – Advising on a potential shareholder dispute and corporate governance issues in relation to a UK-based medical technology company.

  • O’Meara and others v Genius Sports UK Limited – Represented the claimant sellers in High Court proceedings concerning an earn-out dispute following the sale of a data-driven advertising business to Genius.
  • A large franchise business – Advised on a substantial completion accounts dispute involving expert determination following the sale of a number of sites to the franchisor.
  • An international PropTech business – Represented the buyer on an earn-out dispute with the sellers.
  • A private equity firm – Recovery of confidential information misappropriated by a former employee.
  • A UK fund – Advised on matters in connection to ongoing anti-bribery and corruption investigations by enforcement agencies including the SFO.
  • Brown v BCA Trading* – Acted for the majority shareholder in successfully defending at trial a claim of unfair prejudice.

  • Central Termica de Termane SA and Citibank N.A., London Branch v Banco Santander SA – Representing Citibank as co-claimant and security trustee in ongoing High Court proceedings concerning the enforcement of on-demand performance bonds valued at $90m. The dispute concerns an energy project in Mozambique.
  • Alcimos Ltd v Citigroup Global Markets Ltd – Defended Citigroup in proceedings concerning the bank’s role in a potential IPO.
  • A leading crypto wallet provider – In defending claims (including dishonest assistance and IP infringement) relating to a potential acquisition of a target.
  • A global investment bank* – In defending a claim for a make-whole payment due under a facility agreement.
  • A leading global investment bank* – Conducted internal, global regulatory and antitrust investigations in various jurisdictions in relation to the client’s FX sales and trading business. Advised on policies and procedures.

  • Consult II SRO & Ors. v Shire Warwick Lewis Capital Limited & Ors.* – Acted for the claimants in connection with proceedings to recover sums invested in a fraudulent scheme, including successfully obtaining a freezing order and default judgment against the defendants, and advising on bankruptcy proceedings.
  • An overseas pension fund* – In obtaining freezing and search orders in support of US civil proceedings to recover a $40m sum.
