Daniel Marks is an associate in the firm’s Business Law department and a member of its Private Equity (M&A) group. He joined Goodwin in 2021. Daniel’s practice focuses on representing private equity sponsors in complex transactions including mergers, acquisitions, leveraged buyouts, auction processes, platform and add-on acquisitions, equity investments, and general corporate matters relating to portfolio companies. His representations range across a variety of industries including healthcare, software, technology, manufacturing, financial services, fitness, and automotive services.

Daniel’s representative experience includes advising:

  • Frazier Healthcare Partners and affiliates in connection with:
    • The acquisition, via its portfolio company, Comprehensive Pharmacy Solutions, of Trellis, a specialty pharmacy provider to health systems
    • The sale of its portfolio company, Parata Systems, LLC, to Becton Dickinson at an enterprise value of $1.525 billion
    • The acquisition, via its portfolio company, AirLife (f/k/a SunMed), of Vyaire Medical’s respiratory and anesthesia consumables business
    • The acquisition, via its portfolio company, Elevate Patient Solutions (f/k/a MedData), of Revenue Masters, LLC, a cloud-based SaaS company
  • Medical Properties Trust in connection with:
    • The acquisition of inpatient behavioral health hospital facilities and an interest in the operations of Springstone, LLC for $950 million
    • The sale of a loan of approximately $190 million in connection with the sale of a majority interest in Springstone Health Opco, LLC 
  • Bregal Sagemount and affiliates in connection with:
    • The acquisition of DentalXChange, a leader in EDI technology for the dental industry
  • A&M Capital Opportunities in connection with the sale of its portfolio company, Crash Champions, an independent collision repair company, to Clearlake
  • Halifax in connection with its acquisition of Mobility Holding Corporation, a manufacturer and franchisor of home accessibility and mobility equipment solutions
  • Primus Capital Partners in connection with the sale of its portfolio company, SkillSurvey, a pioneer in skills verification and digital reference checking, to iCIMS
  • Towerbrook and affiliates in connection with its acquisition of ECP-PF Holdings, LLC, a Planet Fitness franchisee operating 108 gyms in the U.S. and Canada
  • Audacious Inquiry in connection with its sale to PointClickCare Technologies, a leading technology platform
  • Decode_M in connection with its sale to Penta Group, a stakeholder solutions firm

Areas of Practice

Professional Experience

While attending law school, Daniel was involved as a Rule 3:03 certified student-attorney in the Boston University Civil Litigation Clinic, helping represent low-income clients with unemployment benefits matters. Daniel also served as an articles editor of the Boston University Review of Banking and Financial Law. Prior to joining Goodwin, Daniel was an associate with RSM in New York.
